I. SCOPE
This policy affirms the right of the Board of Trustees to authorize the execution of
instruments. The following is excerpted from the University of Pittsburgh BYLAWS. (See
Appendix A.)
II. POLICY
The Board may authorize any person to sign contracts and other instruments on behalf of
the University.
Any such person, if authorized to do so by the Board, may delegate all or part of such
authority to any other person or persons by instrument in writing.
Nonetheless, any instrument executed on behalf of the University by its Chairperson,
Chancellor and Chief Executive Officer, Provost, any Vice Chancellor, or Executive
Assistant Chancellor, Treasurer, or any Assistant Treasurer, and attested by its Secretary
or any Associate or Assistant Secretary shall be binding upon the Corporation.
